Chile company incorporation: the decisions in order

Chile company incorporation follows one fixed sequence with two real choices. The sequence starts before the company does: each foreign shareholder needs a Chilean tax ID, the RUT, and nothing else moves until all of them hold it. The choices are the form, usually an SpA or an SRL, and the route: the digital Empresa en un Día register, where registration is the incorporation, or a public deed before a notary, whose extract must then be registered with the Registro de Comercio and published in the Diario Oficial. The route follows from how tailored the bylaws need to be. The investor RUT at one end and the bank account at the other set the real calendar.

The choice between a joint stock company (Sociedad por Acciones, SpA) and a limited liability company (Sociedad de Responsabilidad Limitada, SRL) turns on how ownership is expected to change. An SpA suits solo founders or ventures expecting new shareholders. Its articles of incorporation set management, including whether to use a board of directors. An SRL, governed by Ley 3.918, is a closely held form: it suits family businesses or joint ventures requiring partners' consent for transfers. Partners or their appointed administrators run it. An EIRL permits one natural person and one activity. Adding a co-founder, corporate shareholder or second activity means restructuring as an SpA or SRL.

Why the file comes before the company

Part of this file serves one early step: each foreign shareholder, whether a person or a company, must obtain a Chilean tax ID, the RUT, from the SII, and a local representative applies for it under the shareholder's power of attorney. The deed cannot name a shareholder who has no RUT, so those documents are needed before the company exists, not after. The bank reads the file again, since banks apply strict know-your-customer checks to foreign-owned companies, and where the shareholder is itself a company the file reaches through it to that company's director and ultimate beneficial owner. Since China joined the Apostille Convention in November 2023, documents from mainland China take an apostille instead of consular legalization.

The legal representative, and who may hold the role

The legal representative is the requirement that neither the form nor the route changes: an SpA and an SRL each need one, whether the company is constituted on the digital register or by notarial deed. What gets misread is who may hold it. Law 20.848 lets foreigners own a Chilean company outright. Administrators may be foreigners too, but the legal representative must be resident in Chile and hold a Chilean RUT. This is the person who answers to the SII, the municipality and other authorities, so the role continues after incorporation. It comes with a second local fixture, a Chilean tax address; no physical office is needed until the business has staff or premises-based operations.

What starts the tax obligations in Chile

The obligations behind the rates in this panel begin with one filing: the declaration of start of activities with the SII. It activates the company for tax purposes and, because Chilean invoicing is fully electronic, nothing can be billed before it. VAT is then declared monthly on Form F29, with provisional payments towards the annual First Category Tax made alongside it, and pension and health contributions (AFP and Fonasa or Isapre) start once the company hires. And the Additional Tax on dividends paid abroad is not simply added to the corporate tax: the First Category Tax already paid is credited against it, in full for SME-regime companies and residents of treaty jurisdictions, and at 65% otherwise.

What comes after constitution

Constitution gives the company a legal existence; three more steps give it a working one. It takes its own RUT and declares the start of activities, applies for the patente municipal at the municipality of its registered address, after any sector permit it needs in food, health, finance or mining, and opens a bank account. Capital wired in from abroad may also have to be reported to the Banco Central de Chile, which is worth confirming before the funds move. The bank account is the slowest step, because know-your-customer review of a foreign-owned company typically takes 4–8 weeks, so the one thing to do next is to open that file the day the company is constituted.
